Article 1. Who are we? What do we offer?

1.1 GRPC-UK Ltd (hereafter “GRPC Global”), a UK registered company whose registered office is located 1 Featherstone Court, NW72DS, London, registered with company house Registry nr: 16225177, operates a webstore that aims to put Buyers in contact with Product(s).

1.2 GRPC-UK sells second hand / used / refurbished computing devices, laptops, mobile phones etc. Besides, unless otherwise specified, GRPC-UK Ltd is not a brand owner’s distributor of Products.

1.3 The purpose of these Terms of sale is to define the conditions of sale that apply between GRPC-UK and a Buyer for the purchase of Product(s) on the webstore. The relationship between GRPC-UK and the Buyers is governed by the terms of use of the webstore enshrined in the general terms of conditions of sale.

1.4 GRPC does not currently offer  services such as payment instalment services or other after purchase services (with exception of retuns) to the buyers on the webstore.

1.5 Buyers shall be vigilant when reading and accepting the T&Cs for each order, as they can be updated without prior notice at any time.

Article 2. Some definitions

Capitalized terms used in this Terms of Service in either singular or plural form have the

following meanings:

Buyer(s) means any natural person or legal entity that is using the Platform to

purchase Product(s) for non-commercial purposes. Natural person(s)

must be 16 years old or older to be able to purchase Product(s) on the

Platform and have the capacity to take legal actions. Natural persons

aged below 16  years old must have the authorization of their

parent or legal guardian to transact.

Marketplace means the internet website, accessible at the address

www.grpclimited.com/store, through which Buyers can purchase Product(s).

Products means products sold on the webstore. Unless otherwise specified,

products sold on the webstore are either new, used or renewed products: they are either new or second-hand products that have been refurbished.

Product information means a description of a Product, as displayed on the webstore.

Article 2. How to create a client account ?

To order a Product on the webstore, Buyers can opt to create a client account on the

webstore, according to the conditions described in the general terms of use of the

webstore.

Article 4. How to order a Product on the webstore ?

4.1 These Terms of Services must be unreservedly accepted by the buyer prior to ordering any Product(s).

4.2 GRPC-UK Ltd  are fully liable for (i) the veracity and completeness of (a) the

information provided in the product information and (b) the Product description in the product information as well as (ii) the Product’s full compliance with their description in the product information. The price of the Product(s) is fixed freely by the GRPC-UK Ltd.

It is displayed including tax.

4.3. When ordering, the Buyer selects the Product(s) they wish to purchase. The Buyer must

click “Buy”, and then must provide the required information when prompted (desired delivery

address, payment method, etc.). The Buyer is finally invited to confirm their payment.

4.4 The Buyer is informed that the sale is not completed at that point. Indeed, the webstore may have limited availability of Product(s). The webstore therefore has 24 business hours to confirm that the Product(s) are available and that they can honour the order. The contract of sale of Product(s) is therefore concluded when the Seller has confirmed the availability of the Product(s) and the Buyer is charged the amount of their order. If the Product(s) are not available or if the webstore does not confirm availability within the aforementioned 24 business hours period, the order is automatically cancelled and the sale is deemed never to have been completed. The authorization hold in respect of the Buyer’s payment is then immediately

released. The payment may take several days to be released to the Buyer by their bank.

Orders made by a Buyer are independent of each other and if an order contains several

Products, each Product order is independent from the other. Thus, if one or more orders have not been confirmed by the webstore, the Buyer’s other Product(s) order(s) are not canceled and the Buyer is obliged to pay for order(s) that have been confirmed.

4.5 The order may also be canceled by GRPC-UK Ltd  for a legitimate reason,

including:

  • an obvious mistake in the Product(s) and/or the price (e.g., a pricing error or any other

error regarding an essential characteristic of the Product(s));

  • a claim regarding payment of the order; and/or
  • the creation of multiple Users accounts or a fraudulent use of discount codes.

 

Article 5. What are the delivery terms ?

5.1 The Products presented for sale on the webstore can  be shipped within the

United Kingdom and other worldwide.

5.2 The Products are delivered at the delivery address indicated by the Buyer when ordering.

Prices, delivery times and methods are confirmed upon order confirmation in a follow-up email.

If a Buyer has opted for a tracked delivery method, they may track the delivery of the

ordered Product(s) directly on the webstore through its client account and/or the email

and/or website.

5.3 The Buyer will be informed of the delivery date after they have selected a shipping

method. The delivery of the ordered Product(s) shall not be subject to any unjustified delay

5.4 Unless otherwise mentioned when ordering, shipping fees are charged. The shipping. charge is communicated to the Buyer prior to any payment.

5.5 In the event that Products are damaged in transit (damaged or opened package /

missing or damaged Products, the Buyer shall make all possible reservations upon delivery of the Products. GRPC-UK Ltd MAY ALSO ASKS THE BUYER TO FILE A COMPLAINT WITHIN THREE BUSINESS DAYS AFTER THE DELIVERY VIA THE WEBSTORE ONCE THE PRODUCTS HAVE BEEN RECEIVED.

5.6 Title to the Products and risks pass on the Buyer when the delivery is complete, i.e. when the Product has been physically delivered to the Buyer or any third party designated by the Buyer. In the event that the Buyer doesn't receive the package, he

undertakes to notify the webstore via email as soon as possible.

5.7 For returns: in case of a change of mind, the risk of loss passes from the webstore to the buyer upon reception of the Product(s) ; for any other cause, the risk of loss

passes from the Buyer to the webstore as soon as the Product(s) are shipped by the Buyer.

Article 6. How do I pay on the webstore?

Payment is made online via  STRIPE payment gateway. Stripe payment gateway terms of use applies.

Article 7. Can I change my mind ?

7.1. Buyers may return Product(s) within 30 days (UK) OR  within 7 days (Outside UK) of receipt of the Product(s) even in

cases where there are no defects or other discrepancies with the order (“Right to cancel”).

The date the Product(s) are received is not counted when determining the return period. If this period ends on a Saturday, Sunday or a public holiday, such period is extended until the next business day.

7.2 To return Product(s), Buyers must log into their account and indicate that they are

returning the Product(s) because they have changed their mind (and not because of a defect

or some other discrepancy) by clicking sending an email to info@grpclimited.com

7.3 Buyers will then have a period of 3 days after having notified the webstore to ship the

Product(s) to the webstore’s address, unless the webstore requests that the Product(s) be sent to another address or proposes to collect the Product(s).

7.4 Buyers must package the Product returned to the webstore with care. Buyers are free to select the method for sending the Product(s) and to decide to take out insurance in the event of loss, theft or destruction of the package ONLY PRODUCT(S) RETURNED WHOLE, WITH ALL THE ACCESSORIES THEY ARRIVED WITH, AND IN THE CONDITION IN WHICH THEY WERE SOLD ARE ACCEPTED (EXCEPT IF THE BUYER HAS INDICATED THAT THE PRODUCT(S) RECEIVED WAS IN A CONDITION DIFFERENT FROM THAT DESCRIBED IN THE PRODUCT INFORMATION AND WITHOUT PREJUDICE TO THE POSSIBILITY OF UNPACKING AND TESTING THE PRODUCT). BUYERS MUST ALSO ENSURE THAT ANY PERSONAL DATA IS DELETED FROM THE PRODUCT(S) PRIOR TO RETURNING THE PRODUCT AND THAT THE PRODUCT(S) ARE DISCONNECTED FROM ANY ACCOUNT.

7.5 All costs and risks related to the return of Product(s) to the webstore are borne by the Buyer.

7.6 If all the conditions relating to the exercise of the Right to cancel are met, the webstore will refund the Buyer the total amount of their order (excluding delivery costs).

7.7 Buyers may be liable for a loss in value of the Product(s) resulting from mishandling

the Product(s) and/or their accessories.

Article 8. What warranties apply to Product(s) bought on the webstore ?

All Products benefit from legal guarantees and a commercial warranty under the conditions described below. To implement a guarantee or a warranty, the Buyer shall contact the webstore in accordance with Article 9.

8.1 What is the legal guarantee owed by webstore?

The webstore is under a legal duty to sell Products that are conforming. Nothing in these T&Cs will affect the Buyer’s legal rights.

Below is a summary of the Buyer’s key legal rights. These are subject to certain exceptions.

Legal guarantee of conformity

Conformity : According to the Consumer Rights Act 2015, the goods must be:

  • as described;
  • fit for purpose; and
  • of satisfactory quality (but with regards to the Product(s) sold on the webstore,

to the reasonable person's expectation as to quality considering the second-hand

and renewed nature of the Product(s), but should still work, unless the lack of

functionality has been made clear to the Buyer or should have been discovered).

In the event of a defect : During the expected lifespan of the Product(s) the Buyer’s legal

rights entitle them to the following:

  • right to reject the Product(s) : up to 30 days: if the Product(s) are faulty, then the

Buyer can reject the Product(s) and get a refund.

  • right to a repair or replacement: if the Buyer chooses not to reject the goods, they

can claim a repair or a replacement, which shall be provided within a reasonable

time and without significant inconvenience to the consumer, at the sellers’ cost

  • right to a refund: if, following a repair or replacement, the Product are still not

conform, or if the repair or replacement is not provided within a reasonable time or

caused significant inconvenience to the Buyer, the Buyer has the right to keep the

Product and obtain a price reduction, or to return the product and obtain a refund.

Up to one months after delivery, it is assumed that the fault existed at the time of the

delivery, unless the webstore can prove otherwise. If more than one months since delivery have passed, the burden is on the Buyer to prove that the defect existed at the time of the delivery.

To exercise their warranty rights, the Buyer sends an email to info@grpclimited.com. As soon as the request is completed, the Buyer receives a return label to send back the defective Product from the United Kingdom, free of charge. The shipping costs for the

return of the Product will be paid by the buyer.

The Buyer must package the Product that they return to the webstore with care so that it is not damaged during transport. Buyer should also ensure that they delete their personal data before returning the Product and logs out of any account that is connected to the Product.

8.2 What commercial warranty applies to the Products sold on the webstore?

The duration of the commercial (or contractual) warranty applicable to the Product is

specified before the sale on each Product information. The minimum duration is 1 months.

Under the terms of this commercial warranty, the webstore undertakes to offer an after-sales service that complies with more extensive qualitative criteria than those provided for by the legal guarantee.

8.3 What exclusions apply ?

The application of webstore warranty and legal guarantee is excluded in the following cases:

- when the Product is oxidized or broken;

- when one or more of the components of the Product have been manipulated by the

Buyer or a third party not authorized by the webstore;

- when the use of the Product by the Buyer exceeds a so-called normal use, i.e. a use

usually expected from a similar product;

- in case of negligence or lack of maintenance of the Product by the Buyer, or in case of

an accident (e.g. a fall) occurring after the delivery of the Product.

In addition, normal wear and tear of the Product is not covered by the legal guarantees nor by

the commercial warranty.

  1. 4 Is it possible to subscribe to an additional protection plan?

In addition to the legal guarantee and commercial warranty, the Buyer may subscribe to third party warranty service providers. a protection plan covering defects and accidents

caused by normal handling (drops, spills, and cracked screens) are provided by third party warranty service providers of the buyers choice.

Article 9. How to communicate with the webstore and how to raise a claim?

9.1 Communication via the webstore. The Buyer agrees to only communicate via

their account on the webstore. The Buyer and the webstore will each be able to follow any request from their respective accounts. As an exception, if this method of communication is not possible, for example if the Buyer’s client account has been closed, the Buyer may contact GRPC-UK Ltd via email at: info@grpclimited.com

9.2 Handling of Buyer’s complaints by the webstore. For any question or claim regarding the Products, guarantees, right of withdrawal, delivery etc., requests and claims can be

addressed by the Buyer via his buyer account or email: info@grpclimited.com. GRPC-UK Ltd customer service will do its best to answer or relay the question or complaint to the appropriate channel for it to be dealt with.

9.3 GRPC-UK LTD intervention. Warranty (including if webstore has not offered an exchange, repair or refund solution within five

business days of receipt of the Product(s)), and if GRPC-UK LTD considers the Buyer's claim to be justified, GRPC-UK LTD  will implement one of the following solutions, depending on the subject

matter of the claim: (i) refund the price of the order or the disputed Product to Buyer, (ii)

return to Buyer a Product that conforms to the Product ordered, (iii) propose a solution for repairing the non-conforming Product and, if applicable, (iv) provide Buyer with a prepaid label for returning the Product. The solution proposed by GPRC-UK LTD, if acceptable to Buyer,

is binding on webstore.

GRPC-UK LTD intervention in this context is additional to and independent of the Buyer's rights and therefore does not prejudice the Buyer's right to take any action against the webstore.

Article 10. What about liability for Products and services?

10.1 Concerning the services : GRPC-UK LTD shall make every effort to ensure the availability of the services and the webstore. GRPC-UK LTD  reserves the right to suspend or limit access to the services and the webstore to carry out repairs, maintenance operations, and/or add and/or develop a functionnality and/or a Service. GRPC-UK LTD  may not be held responsible for any damage suffered by a Buyer due to the impossibility to use all or part of a Service or the website and webstore.

10.2 Concerning the Products: The webstore assumes full responsibility for the Products it offers for sale through the website, and their guarantee.

 The management of the after-sales service by GRPC-UK LTD in the name and on

behalf of the webstore does not exclude or limit the webstore’s liability to the Buyer.

The Buyer releases GRPC-UK LTD  from any liability that may arise in the execution of the sale, in particular with respect to the conformity of the Products, the description and conformity of the offer to sell, the availability of the Products and the ownership of intellectual and industrial property rights relating to the Products.

Article 11. Applicable law and dispute resolution

11.1 These T&Cs are governed by English law.

11.2 In the event of a dispute relating to the formation, signature, performance,

interpretation or validity of these T&Cs or, more generally, to the relationship with a webstore , the Buyer and the GRPC-UK LTD are invited to take the necessary steps to resolve all dispute on an amicable basis as described in clause 9.

11.3 The Buyer is informed that they may, if they so wish, involve a consumer affairs

mediator free of charge for the amicable resolution of the dispute between them and the GRPC-UK LTD. In this respect, the Buyer may use the online dispute resolution set up by the European Commission via their website.

11.4 If the Buyer has not wished to benefit from the mediation or if the mediation has not been successful, the Buyer may refer the matter to the courts having jurisdiction in the place of his/her residence at the time of the signature of the agreement or when the event causing the damage occurred, in the place of the headquarters of the webstore or in the place of actual delivery of the Product.
